1. About us

These terms apply to all trade customers of The Finest Trade Produce Ltd ("we", "us", "our"), a company registered in England and Wales (company number 15334903), registered office 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. By submitting an account application or placing an order you agree to these terms on behalf of your business.

2. Trade accounts

Accounts are offered to verified trade buyers only — restaurants, caterers, shops and other businesses. We may approve, reject or close accounts at our discretion. You are responsible for keeping your login details confidential and for all activity carried out under your account. These terms apply to business-to-business sales only; consumer rights under the Consumer Rights Act 2015 do not apply.

3. Pricing

Wholesale fruit and vegetable prices fluctuate daily with the market. Prices shown in your portal are indicative; the final price is the one shown on your invoice after the order has been picked. Substitutions and shortages are priced at the rate of the item supplied. All prices are exclusive of VAT, which is added at the prevailing rate where applicable.

4. Orders & cut-off

Orders must be submitted by the daily cut-off shown in your portal. Orders received after cut-off are processed for the next available delivery day. You may edit a submitted order until the edit deadline shown on the order. A contract for sale is formed when we confirm acceptance of the order, not on submission.

5. Substitutions & missing items

Where an item is unavailable we will, depending on your stated substitution preference, either omit the item or supply a like-for-like alternative. Missing or substituted items are itemised on the final invoice with the reason recorded.

6. Delivery, risk & cold chain

We deliver to the address on file during your agreed delivery window. Risk in the goods passes to you on delivery. As a food business operator you are responsible for maintaining the cold chain and food safety from the point of delivery onwards in accordance with the Food Safety Act 1990 and Regulation (EC) 852/2004 as retained in UK law. Please inspect goods at the point of delivery and report any issues within 24 hours via the "Report an issue" feature in your portal.

7. Retention of title

Title in the goods does not pass to you until we have received payment in full (in cleared funds) of all sums due to us under this and any other contract between us. Until title passes you must hold the goods as bailee, store them so they are clearly identifiable as our property and not pledge or encumber them. Risk in the goods nevertheless passes to you on delivery (clause 6).

8. Payment, credit & late payment

Invoices are payable in accordance with the credit terms set on your account. If your outstanding balance exceeds your approved credit limit we may place your account on hold until the balance is cleared. We reserve the right to claim statutory interest (8% above the Bank of England base rate) and fixed compensation (£40 / £70 / £100 per invoice depending on debt size) under the Late Payment of Commercial Debts (Interest) Act 1998 and associated regulations on any overdue amount.

9. Quality, claims & statutory rights

We supply fresh produce and rely on prompt notice of any quality issues. Claims notified more than 24 hours after delivery, or where the goods have been used, processed or disposed of, cannot normally be considered. Subject to the limits in clause 10, the statutory implied terms of satisfactory quality and fitness for purpose under the Sale of Goods Act 1979 apply.

10. Liability

Nothing in these terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited under the Unfair Contract Terms Act 1977. Subject to that, our total liability to you in respect of any one order is limited to the invoice value of the affected goods, and we are not liable for any indirect or consequential loss, loss of profit, loss of business, loss of goodwill or loss of anticipated savings.

11. Force majeure

We are not liable for any failure or delay in performing our obligations caused by events outside our reasonable control, including but not limited to extreme weather, crop failure, port or transport disruption, industrial action, pandemic, energy shortage, or actions of government or regulators. If such an event continues for more than 30 days either party may terminate the affected order by written notice without further liability (save for sums already due).

12. Data protection

We process personal data in accordance with our Privacy Policy, which explains your rights under UK GDPR and the Data Protection Act 2018.

13. Anti-slavery & ethical trading

We are committed to operating in accordance with the Modern Slavery Act 2015 and expect our customers and suppliers to do the same. We do not tolerate slavery, servitude, forced labour or human trafficking in any part of our supply chain.

14. Account closure & suspension

Either party may close the trade account at any time on written notice. Outstanding invoices remain payable. We may suspend access immediately for breach of these terms, non-payment, insolvency, or suspected fraud.

15. Changes to these terms

We may update these terms from time to time. The current version is always available at this URL and the "last updated" date is shown above. Material changes will be notified by email to active account holders at least 14 days before they take effect.

16. Governing law & jurisdiction

These terms and any non-contractual obligations arising out of them are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
